Terms & Conditions

These Terms & Conditions govern your use of the Galaxis Plus website and the provision of services by GALAXIS PLUS EVENTS ORGANIZING AND MANAGEMENT L.L.C.

Introduction

The following terminology applies to these Terms & Conditions, the Privacy Policy, and any agreements between the parties.

“Client,” “You,” and “Your” refer to the person, company, organisation, or other entity requesting or receiving services from Galaxis Plus.

“The Company,” “We,” “Our,” and “Us” refer to GALAXIS PLUS EVENTS ORGANIZING AND MANAGEMENT L.L.C, also referred to as “Galaxis Plus”.

“Party” or “Parties” refers to the Client and Galaxis Plus individually or collectively, as applicable.

These Terms & Conditions apply to the Company's event management, event planning, production, exhibitions, conferences, ceremonies, launches, corporate events, government events, academic events, and related services, together with any proposal, quotation, booking form, statement of work, or service agreement issued to the Client.

All services are provided in accordance with the applicable laws and regulations of the United Arab Emirates and the Emirate of Dubai.

Services and Scope of Work

Galaxis Plus provides event organising and management services based on the requirements discussed and agreed with the Client.

The specific scope of services, deliverables, timelines, venues, production requirements, third-party services, fees, payment schedules, and other project requirements will be set out in the applicable proposal, quotation, booking confirmation, purchase order, or signed agreement.

Any service or deliverable not expressly included in the agreed scope may be treated as an additional service and may be subject to additional fees and timelines.

Alteration of the Event or Agreed Services

Galaxis Plus will make reasonable efforts to deliver the event and services in accordance with the agreed proposal or project plan.

However, event programmes, schedules, venues, suppliers, production arrangements, speakers, performers, technical requirements, layouts, or other event elements may need to be changed due to operational requirements, venue restrictions, supplier availability, regulatory requirements, safety considerations, or circumstances outside the Company's reasonable control.

Where a material change is required, Galaxis Plus will, where reasonably practicable, communicate the change to the Client and work with the Client to identify an appropriate alternative.

Any changes requested by the Client after approval of the agreed scope may result in additional costs, revised timelines, or both.

Client Responsibilities

The Client is responsible for providing accurate and complete information reasonably required for Galaxis Plus to perform the agreed services.

The Client shall provide required approvals, content, branding materials, technical information, access, instructions, guest information, or other project requirements within the agreed timelines.

Delays in receiving information, approvals, payments, materials, or access from the Client may affect the agreed project schedule and may result in additional costs where applicable.

The Client is responsible for ensuring that any content, trademarks, photographs, videos, documents, designs, or other materials supplied to Galaxis Plus may lawfully be used for the agreed event or project.

Fees and Payments

Fees for Galaxis Plus services will be specified in the applicable quotation, proposal, booking confirmation, invoice, or signed agreement.

The Client agrees to make payments according to the payment schedule agreed between the parties.

Where a deposit, advance payment, milestone payment, or other payment is required before work or event preparation begins, Galaxis Plus may not be required to commence or continue the relevant work until the applicable payment has been received.

Additional services, scope changes, third-party costs, venue charges, production requirements, or other expenses requested or approved by the Client may be charged separately.

Unless otherwise agreed in writing, amounts invoiced by Galaxis Plus remain payable according to the payment terms stated in the applicable invoice or agreement.

Cancellation by Client

Any cancellation of an event or service by the Client must be communicated to Galaxis Plus in writing.

The financial consequences of cancellation will depend on the applicable proposal, quotation, booking terms, signed agreement, work already performed, commitments made to third-party suppliers, venue arrangements, production costs, and other non-recoverable expenses.

Where specific cancellation or refund terms have been agreed in writing between the parties, those terms will apply.

Where no specific cancellation terms have been agreed, Galaxis Plus reserves the right to recover reasonable costs and commitments already incurred in connection with the Client's project, subject to applicable law.

Failure by the Client to attend, participate in, or use an agreed service does not automatically cancel the Client's payment obligations.

Postponement of Event

If an event needs to be postponed, Galaxis Plus will, where reasonably practicable, work with the Client to identify an alternative date or appropriate arrangement.

Any postponement may be subject to venue availability, supplier availability, production requirements, third-party commitments, and additional costs.

Where the postponement is requested by the Client, reasonable additional costs arising from the change may be charged to the Client where applicable.

Where a specific postponement arrangement has been agreed in the applicable contract or project agreement, that arrangement will apply.

Cancellation of Event

Galaxis Plus may cancel, suspend, or materially modify an event or service where necessary due to circumstances including venue restrictions, regulatory requirements, safety concerns, supplier failure, non-payment, or circumstances outside the Company's reasonable control.

Where Galaxis Plus cancels an event for reasons within its control, the parties will determine the applicable refund, credit, rescheduling, or other remedy in accordance with the applicable agreement and applicable law.

Nothing in these Terms & Conditions limits any rights or remedies that cannot lawfully be excluded under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Galaxis Plus will not be liable for indirect, incidental, special, or consequential loss arising from or in connection with the services.

This may include, where legally permissible, loss of profits, loss of business opportunities, loss of expected savings, or other indirect financial loss.

Galaxis Plus shall not be responsible for delays, interruptions, failures, or losses caused by circumstances outside the Company's reasonable control or by the acts or omissions of third parties engaged by or through the Client.

Nothing in these Terms & Conditions excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

Third-Party Suppliers and Services

Event projects may require services from third-party venues, caterers, production companies, entertainers, transportation providers, technology providers, photographers, printing companies, security providers, or other suppliers.

Where third-party services are required, Galaxis Plus may coordinate such services as part of the agreed project scope.

Third-party suppliers may have their own terms, cancellation policies, fees, and operational requirements. Where applicable, such terms may form part of the Client's project obligations.

Force Majeure

Galaxis Plus shall not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include, without limitation, natural disasters, severe weather, fire, flood, epidemic or pandemic-related restrictions, war, terrorism, civil unrest, government action, regulatory restrictions, strikes, utility failures, venue closure, transportation disruption, major technical failures, or other events that could not reasonably have been prevented or overcome.

Where such circumstances affect an event, Galaxis Plus will use reasonable efforts to communicate with the Client and, where practicable, explore postponement, rescheduling, alternative arrangements, or other reasonable solutions.

Any financial consequences arising from such circumstances will be handled in accordance with the applicable agreement and applicable law.

Intellectual Property

Unless otherwise agreed in writing, Galaxis Plus and/or its licensors retain ownership of intellectual property in materials created or provided by the Company, including designs, concepts, layouts, proposals, presentations, graphics, copy, website content, templates, systems, processes, and other proprietary materials.

Client-owned trademarks, logos, photographs, content, documents, and other materials supplied by the Client remain the property of the Client or their respective owners.

The Client grants Galaxis Plus permission to use Client-provided materials to the extent reasonably necessary to perform the agreed services.

No intellectual property created or supplied by Galaxis Plus may be reproduced, distributed, sold, sublicensed, or commercially reused outside the agreed project without appropriate permission, unless otherwise agreed in writing.
